Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Echovyn Labs ("Company", "we", "us", or "our") concerning your access to and use of the echovynlabs.com website and any related services (collectively, the "Services").

    • Your computer may temporarily store copies of such materials in RAM
    • You may store files that are automatically cached by your browser

Your Content

When you submit content to us (such as inquiry forms, project details, or feedback), you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and display such content solely for the purpose of providing our Services and improving our offerings.

  • Web Development (custom, e-commerce, WordPress, etc.)
  • Cloud Infrastructure Services
  • Mobile App Development
  • AI and Machine Learning solutions
  • Automation and Integration services
  • Enterprise Software Development
  • Managed IT Services
  • Software Testing

Service descriptions on our website are for informational purposes. Actual services will be defined in separate project agreements or statements of work.

Project Agreements

For paid services, we will enter into a separate written agreement or statement of work that will include:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Intellectual property ownership
  • Warranties and support terms
  • Termination conditions

In case of conflict between these Terms and a project agreement, the project agreement will prevail.

Pricing and Payments

  • Prices are quoted in USD or local currency as specified
  • Prices are subject to change with notice
  • Payment terms will be specified in project agreements
  • Late payments may incur interest charges
  • We reserve the right to suspend services for non-payment

Changes to Services

We reserve the right to:

  • Modify or discontinue any part of the Services at any time
  • Change pricing with reasonable notice
  • Update service features and functionality
  • Impose limits on certain features

We will make reasonable efforts to notify you of material changes.

User Submissions and Feedback

Any feedback, comments, ideas, improvements, or suggestions you provide to us remain your property, but by providing such feedback, you grant us the right to use and incorporate such feedback into our Services without compensation or attribution.

Some jurisdictions do not allow the exclusion of warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ECHOVYN LABS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from your use or inability to use the Services
  • Any damages arising from third-party conduct or content on the Services

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED:

  • The amount you paid to us in the 12 months preceding the claim, or
  • INR 10,000 (ten thousand Indian rupees)

Whichever is greater.

Some jurisdictions do not allow the limitation of certain types of damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Echovyn Labs and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Services
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

Termination

By You

You may stop using our Services at any time. If you have an account, you may request account deletion by contacting us.

By Us

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Violation of applicable laws
  • Fraudulent or illegal activity
  • At our sole discretion

Upon termination:

  • Your right to use the Services will immediately cease
  • Any project agreements will continue to govern work already performed
  • Provisions that by their nature should survive termination will remain in effect

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@echovynlabs.com. We will attempt to resolve the dispute informally within 60 days.

Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in Ahmedabad, Gujarat, India.

Exceptions to arbitration:

  • Either party may seek injunctive relief in court
  • Disputes regarding intellectual property rights
  • Claims that can be brought in small claims court

Class Action Waiver

You agree to bring claims against us only in your individual capacity and not as part of any class or representative action. Class arbitrations, class actions, and representative actions are not permitted.

Geographic Restrictions

We operate our Services from India and target users in India, United Kingdom, Poland, and Netherlands. We make no representation that the Services are appropriate or available for use in all locations. Access to the Services from territories where their content is illegal is prohibited.

Export Controls

You agree to comply with all applicable export and re-export control laws and regulations when using our Services.

Changes to Terms

We may update these Terms from time to time. Changes will be effective when posted with an updated "Last Updated" date.

For material changes, we will notify you by:

  • Email (if we have your email address)
  • Prominent notice on our website
  • As required by law

Your continued use of the Services after changes constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Waiver

No waiver by Echovyn Labs of any term or condition shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Echovyn Labs regarding the use of the Services and supersede all prior agreements and understandings.
